Official Contest Rules

CONTEST PERIOD

The We Buy Black Relief Fund (“contest”) application process starts at 10:00 am eastern time on April 8, 2020 and ends at 11:59pm eastern time, April 15, 2020. 

ELIGIBILITY

Open only to businesses with 2 or more years in operation (“Business”). Entrants must be able to attend the Contest Prep Conference Call on Sunday, April 19, 2020 at 4pm eastern time.  Failure to attend prep conference could PROHIBIT you from becoming a Finalist (see Finalist details below). Entrants must be the owners/operators/authorized Business representatives, at least 18 years old and legal residents of one of the 50 United States and the District of Columbia. Entrants may not be employees of We Buy Black(“Company”) and SheMoisture (“Sponsor”) other companies associated with the Black Business Relief Fund. The immediate family (spouse, parents, siblings and children) and household members of such employees also may not enter the contest. All eligible entrants who meet criteria above (“Entrants”) may enter as follows below. Each Entrant consents to the use by We Buy Black and associates the business and business owners’ names, photographs, likeness, biography, voice recording, testimony, performance and/or video [including any footage compiled or Finalist’s submission(s) submitted with registration] for advertising and promotional purposes in any and all media now or hereafter known, worldwide and without limitation and without additional compensation, notification or permission, except where prohibited by law. We Buy Black has the right in its sole discretion to determine whether an Entrant is eligible for the contest.

HOW TO ENTER

To enter, Entrants must complete this registration form (“entry”) by 11:59pm eastern time, April 15, 2020. Entry must be complete to be eligible (all required fields). Entries must be in English.  Entries that do not meet the requirements set forth in these Official Rules will be disqualified. Entrant grants to Company and Sponsor a worldwide, royalty-free, perpetual and non-exclusive right and license to use, copy, distribute, reproduce, modify, adapt, edit, translate, publicly perform and publicly display and create derivative works from and display each submitted entry, in any media, and with right to use, copy, modify, edit, and create derivative works there from, and agrees to waive any and all moral rights that the Entrant may have in the entry with respect to the uses contemplated herein, and to execute documents confirming such right and license at Company and Sponsor’s reasonable request. No information regarding entries, other than as otherwise set forth in these Official Rules, will be disclosed. By participating, you understand that your entry (or portion thereof) may be posted online, in Company and Sponsor’s sole discretion. The posting/voting process is four weeks after the contest dates, as described below.


By submitting a registration form, you represent and warrant to We Buy Black and affiliates that any materials submitted in this Business Relief Fund are your own original work and, as such, you have all right, title and/or interest in the presentation and related documents submitted and the information it contains is original, accurate and complete, and that by submitting the entry and related documents to We Buy Black that you are not and will not be violating (i) any contract or third party rights including any patent, copyright, trade secret, proprietary or confidential information, trademark, publicity or privacy right or (ii) any applicable state, federal or local law.  The entry and related documents may not contain any copyrighted elements other than elements owned by the Entrant. 

ENTRY SUBMISSION REQUIREMENTS

Entries must, in the sole discretion of Company, adhere to the following contest entry guidelines and these Official Rules of the contest. Any entry that does not, in the sole discretion of Company, adhere to these Guidelines or the requirements set forth in these Official Rules is subject to disqualification from the contest:

Entry may not contain, as determined by Company, in its sole discretion:
Content that includes phrases, trademarked material (other than Business name and other marks owned by Business) or other third-party materials.
The names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; or look-alikes of celebrities or other public or private figures, living or dead; 
Content that promotes any illegal activity; promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; is obscene or offensive; endorses any form of hate or hate group; 
Personal identification, such as license plate numbers, e-mail addresses or street addresses or other identifying information of any person or entity other than you and the Business. 
Material that is inappropriate, indecent, sexually explicit or suggestive; unnecessarily violent, profane, obscene, hateful, tortuous, derogatory of any ethnic, racial, gender, religious, professional or age group, (including using words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group).
Content which violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, and false advertising).
Content that promotes violence or engages in, encourages, advocates, discusses with the intent to commit, or provides instructions for conduct that would constitute a criminal or civil offense or would otherwise violate any federal, state, local or international law or rule.
Material or content for which you were compensated or granted any consideration by any other third party.
Material or content that is, or may reasonably be considered to be, hate speech, whether directed at an individual or group, and whether based upon the race, sex, creed, national origin, religious affiliation, marital status, sexual orientation, gender identity, or language of such individual or group or that is otherwise unlawfully threatening or unlawfully harassing to any individual, partnership, corporation, or political body.
Content that disparages, slanders or libel persons or organizations associated with the Company and Sponsor or any other brands, companies, or individuals.
Content or materials in which you impersonate another person or entity.
Entry may not have been submitted previously in a contest or competition of any kind or previously exhibited or displayed publicly (i.e., disclosed beyond your immediate circle of friends, business colleagues and family) through any means.
Entry must be consistent with Company’s image
Entry may not contain information known by you to be false, inaccurate or misleading.
Entry must be your own original, unpublished work and should not contain, incorporate or reference any content that is owned by any third party or entity, would require the consent of any third party or entity in any jurisdiction, or which infringes any third party’s copyright, patent, trademark, trade secret, right of publicity, right of privacy, moral rights, and/or any other applicable personal or proprietary rights.

SCORING TO DETERMINE FINALISTS AFTER APPLICATION PERIOD ENDS

Each registration form will be scored by a committee of five (5) judges who will score each entry/application on a numerical scale (1-10).   Submissions will be judged by a committee of judges based upon the following criteria: 10 points:  Overall presentation of business (Originality, Innovation, Thoughtfulness, and Sustainability); 10 points: Social Impact (Company’s Mission and How are they giving back to the community); 10 points:  How the business will use the grant money (Clear, Measurable and Achievable business goals). Judges’ decisions are final on all matters relating to this judging.  In the event of a tie, tied Entrants will be rescored 30 points for Social Impact (Company’s Mission and How are they giving back to the community). The committee will determine the top 20 applications [for five (5) to be posted each of the four (4) weeks], and those Entrants (“Finalists”) will be in the running to be a contest Fund Recipient. All Entrants will be notified via email no later than April 20, 2020 of their application status. The posting process for the Finalists (defined below) will be executed via Instagram for 4 weeks, beginning April 20, 2020 through May 15, 2020. 

The We Buy Black Editorial Team will post one (1) articles per week day( Monday- Friday) for four (4) weeks on their Instagram page that highlight 5 of the 20 Businesses selected as Finalists. 

Finalists will be asked to submit a testimony from their experience with the Black Business Fund for publication on We Buy Black and its partners’ websites, newsletters and/or social media sites, in Sponsor’s sole discretion and they may use that testimony in any advertising as they see fit.

GRANTS

– 20 recipients will be awarded $5,000 per company to advance their business (awarded to the business as a check).  

Monies will be reported as income to the winning business and the winning Entrant’s business will be responsible for all taxes associated with the receipt of the money.  

Funds are not transferable or refundable and must be accepted as awarded.  No cash or other substitution may be made. Finalists whose Businesses are determined to be contest Fund recipients will be notified via email and will be required to sign and return via email/email link, a Fund acceptance form (“Acceptance Form”) within forty-eight (48) hours of notification attempt or potential recipient may be disqualified and an alternate potential recipient may be determined from the next highest voted Finalist (as outlined above). Return of Acceptance Form as undeliverable, if any portion of the Acceptance Form is not received within the required time period or if a potential recipient/Business is deemed ineligible, said potential recipient/Business will be disqualified and an alternate will be determined (as outlined above).

GENERAL CONDITIONS

By entering: To the maximum extent permitted by law, you indemnify and agree to release and hold harmless We Buy Black and its partners from and against any liability, claims, demands, losses, damages, costs and expenses (including reasonable attorney’s fees) arising out of or accruing from (i) any act, default or omission by you and/or a breach of any warranty set forth herein; (ii) any third party claiming your entry and/or related materials violates said third party’s intellectual property or right or defames any person or violates their rights of publicity or privacy; (iii) any misrepresentation made by you in connection with the Black Business Relief Fund; (iv) any non-compliance by you with these rules; (v) your acceptance, possession, misuse or use of any prize or participation in the Black Business Relief Fund; (vi) malfunction or other problem with the venue; (vii) claims by third-parties arising from or related to your involvement in Black Business Relief Fund; and (vii) any error in the collection, processing or retention of entry information. Acknowledge any publication by We Buy Black of your presentation on web sites or social media will result in the same being visible to the public and We Buy Black  assumes no responsibility for any use and/or abuse of the entry or any part thereof by any party coming into contact with your entry online or on social media and hereby waive any right to demand compensation for damages from the We Buy Black for any reason and you agree that in any cause of action, the We Buy Black and its partners’ liability will be limited to the cost of entering and participating in the Black Business Relief Fund, and in no event shall the We Buy Black or its partners be liable for attorney’s fees; Waive the right to claim any damages whatsoever against the We Buy Black and its partners, including, but not limited to, punitive, consequential, direct or indirect damages; Agree that any and all disputes, claims and causes of action arising out of, or connected with, the Black Business Relief Fund or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a court located in the State of Georgia.  All questions concerning the construction, validity, interpretation and enforceability of these rules, entrant’s rights and obligations, or the rights and obligations of Black Business Relief Fund in connection with the Black Business Relief Fund, shall be governed by and construed in accordance with the laws of the State of Georgia without giving effect to any choice or conflict of law rules which would cause the application of the laws of any jurisdiction other than the State of Georgia; and Agree and accept these rules and the decisions of We Buy Black, which are final and binding. Not an Offer or Contract of Employment: Under no circumstances shall an entry into the Black Business Relief Fund, the awarding of a fund, or anything in these rules be construed as an offer or contract of employment and/or independent contractor relationship with the We Buy Black. We Buy Black reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry/voting process or the operation of the Black Business Relief Fund, or to be acting in violation of these rules or in an unsportsmanlike or disruptive manner.  We Buy Black’s failure to enforce any term of these rules shall not constitute a waiver of that provision.  In the event of a dispute as to any entry, the authorized account holder of the e-mail address used to enter will be deemed to be the Entrant.  These rules form a legal agreement between you and We Buy Black with respect to Black Business Relief Fund, and winning a prize is contingent upon fulfilling all requirements set forth herein.

PRIVACY 

Any personal information that an Entrant provides to Company may be shared with Sponsor and used to administer this contest and for the other purposes set forth in the privacy policy located at https://webuyblack.com/privacy-policy.html. By participating in this contest, Entrant agrees to and accepts that privacy policy.

For a list of the names of Businesses that have received a Fund, available after May 28, 2020, send a stamped, self-addressed envelope, to: We Buy Black 2730 Sullivan Road Atlanta, GA 30337
